Terms of service
These terms govern the use of the CloseEase website, the purchase of the Find, the Fix and Support, and subscriptions to the CloseEase CRM. They are offered to businesses only.
CloseEase is a business based in Ontario, Canada, reachable at info@closeease.com. Our Privacy policy explains how we handle personal information.
1. Who we are and definitions
1.1 These terms of service (the "Terms") are an agreement between CloseEase and you. "CloseEase", "we", "us" and "our" mean CloseEase, a business based in Ontario, Canada, that you can contact at info@closeease.com. The full legal name and address of the contracting party appear on our invoices and on any signed quote or agreement.
1.2 "You" and "your" mean the business that uses the Website, buys a Service or subscribes to the CRM. An individual who accepts these Terms accepts them on behalf of that business.
1.3 In these Terms:
- "Website" means closeease.com and all of its pages, including the desktop, phone and standard versions;
- "Services" means the Find, the Fix and Support, where "Find" has the meaning in section 5.1, "Fix" means a project in which we build, change or repair systems, tools or software for you, and "Support" means ongoing help with systems, tools or software after they are delivered;
- "CRM" means the CloseEase CRM, the subscription software service described in section 7;
- "Signed Agreement" means a written quote or agreement for a Service or for the CRM that both you and we have signed or accepted in writing;
- "Customer Data" means the data that you or your users enter into, upload to or receive through the CRM;
- "business day" means a day from Monday to Friday that is not a public holiday in Ontario;
- "in writing" and "written" include email; and
- "HST" means the harmonized sales tax.
2. Acceptance and business use
2.1 You accept these Terms when you first use the Website, pay for a Find, subscribe to the CRM, or sign or accept a quote or agreement that refers to these Terms, whichever happens first.
2.2 The Website, the Services and the CRM are offered for business use only. By accepting these Terms, you confirm that you are acting for a business and not for personal, family or household purposes.
2.3 The individual who accepts these Terms confirms that they have the authority to bind the business they act for and that they have reached the age of majority where they live.
2.4 If you do not accept these Terms, do not use the Website, the Services or the CRM.
3. Changes to these Terms
3.1 We may change these Terms. We will post the new version on this page with a new effective date.
3.2 If a change is material, we will also notify CRM customers and clients with current work by email at least 30 days before the change takes effect. If you do not accept the change, you may cancel the CRM under section 7.7 before the change takes effect.
3.3 A change to these Terms does not change a Signed Agreement that was signed before the change, unless both parties agree in writing.
3.4 If you continue to use the Website, the Services or the CRM after a change takes effect, you accept the changed Terms.
4. The website
4.1 Acceptable use. You may use the Website to learn about CloseEase and to contact us. You must not: (a) use the Website for an unlawful purpose; (b) try to gain unauthorized access to the Website, the CRM or the systems behind them, or test their security; (c) interfere with how they work, including by sending malicious code or large volumes of automated requests; (d) copy or collect content from the Website by automated means; or (e) send false information, or pretend to be another person, in a form or in the chat.
4.2 Content and intellectual property. The Website and everything on it, including its text, artwork, icons, sounds, games, software and screenshots, belong to CloseEase or its licensors and are protected by copyright and other laws. You may view and print pages for your business's internal use in deciding whether to work with us. You must not copy, adapt, publish or sell any part of the Website without our written permission, except as the law allows. The CloseEase name and logo are ours, and you must not use them in a way that suggests that we endorse you or your business.
4.3 Links. The Website links to websites that other parties run, such as LinkedIn and the Office of the Privacy Commissioner of Canada. We do not control those websites and are not responsible for them, and their own terms apply to your use of them.
4.4 Demonstrations and case studies. The demonstration apps and screenshots shown on or linked from the Website use fictional businesses and made-up data. Any resemblance between a fictional name and a real business or person is unintended. Case studies describe real client work, with the client's name, brand, addresses and prices replaced by made-up ones. Demonstrations illustrate the kind of work we do. They are not a promise that a Service or the CRM will include a particular feature or achieve a particular result, and they are provided as is, without any warranty. Do not enter real personal information into a demonstration.
4.5 The chat. The Website chat gives automated answers, and no person takes part in it. Its answers are general information. They are not advice, they are not an offer, and they do not change these Terms or any Signed Agreement.
4.6 Games. The games on the Website are for entertainment. When a game says that a prize is unlocked, it invites you to contact us. No prize is owed unless we confirm the prize to you in writing.
4.7 Prices on the Website. Prices on the Website are in Canadian dollars and do not include HST. If the Website states a price or a term differently from these Terms or a Signed Agreement, section 17 decides which one applies.
5. The Find
5.1 What the Find is. The Find is a fixed-price review of one business process. It consists of a review by us of how the process works and where it breaks, and it ends with a written plan and a quote for the Fix. Before the work starts, we confirm by email which process the Find covers.
5.2 Fee. The Find costs CAD $750 plus HST. We invoice the fee when you book the Find, and you must pay it in full before the first working session, by a payment method shown on the invoice.
5.3 No refund. The Find fee is non-refundable, including if you decide not to go ahead with a Fix. The only exception is section 5.8.
5.4 What you receive. The written plan sets out what is wrong, what we recommend changing, what we would build, and what "done" means for that work. It comes with a quote for the Fix. We deliver the plan and the quote by email within 10 business days after the last working session. You receive the Find on the day we send that email.
5.5 Your use of the plan. You may use the written plan and the quote as section 9.3 describes, whether or not you hire us for the Fix.
5.6 Credit toward the Fix. If you sign for the Fix within 60 days after the day you receive the Find, we deduct the full CAD $750 from the Fix project total. The credit: (a) applies once for each Find; (b) has no cash value and cannot be exchanged for money or refunded; (c) cannot be transferred to another business or person; and (d) ends if the Fix is not signed within those 60 days. We deduct the credit before HST is calculated on the Fix. Any part of the credit that is greater than the Fix project total is not paid out. You sign for the Fix when you sign or accept in writing a Signed Agreement for it.
5.7 Scheduling and your part. After you pay, we agree the dates of the working sessions with you by email, and we offer dates that fall within 15 business days after payment. You must make the people, information and system access the Find needs available at the agreed times. Either party may move a working session by giving the other at least 2 business days' notice by email. If you do not make the people, information or system access available within 60 days after payment, we may complete the Find with the information we have or close the Find, and in either case the fee is not refunded.
5.8 If we cannot deliver. If, for a reason on our side, we cannot hold the first working session within 30 days after payment, or cannot complete the Find, we will tell you by email. You may then choose a new schedule or a full refund of the Find fee and the HST paid on it. We pay a refund within 10 business days after you choose it, to the original payment method. This refund is our only obligation for a Find we cannot deliver.
6. The Fix and Support
6.1 Separate agreements. Each Fix and each Support arrangement is governed by its own Signed Agreement, which sets out the scope, the price, the schedule, the payment terms, what counts as done, and who owns the work. We do not publish prices for the Fix or Support, and we quote each one in writing.
6.2 Quotes. Each quote states how long it is valid. A quote that comes with a Find is valid for 60 days after the day you receive the Find. Any other quote that does not state a period is valid for 30 days after the date on the quote. After a quote expires, we may withdraw it or change it.
6.3 Signed Agreements prevail. If a Signed Agreement for a Fix or Support conflicts with these Terms, the Signed Agreement prevails. These Terms apply to every matter that the Signed Agreement does not address.
6.4 Changes in scope. Work outside the scope of a Signed Agreement is not included in it. We do that work only after both parties agree in writing on the change and its price.
7. The CloseEase CRM
7.1 The service. The CRM is software that we host and provide as a subscription service. You subscribe through the Get the CloseEase CRM page on the Website. After your first payment succeeds, we send log on details by email to the address you gave when you signed up. Your users log on at app.closeease.com. That address is for logging on only, and it cannot be used to subscribe.
7.2 Seats. A seat is one named person who can log on to the CRM. Two or more people must not share a seat. Your subscription includes 5 seats, and you may add more under section 7.9.
7.3 Price. The CRM costs CAD $307.78 per month for the first 5 seats, plus CAD $39 per month for each additional seat, plus HST. For example, a subscription with 7 seats costs CAD $385.78 per month plus HST.
7.4 HST. We charge HST at 13% and show it on each invoice as "HST". If the HST rate changes, or the law requires another tax, we charge tax at the rate the law requires from the date it applies.
7.5 Billing in advance. We bill the CRM monthly in advance through Stripe. Your first payment covers your first month. After that, we charge the card or other payment method you gave Stripe on the same day of each month as your first payment (the "billing date"). If a month has no such day, the billing date is the last day of that month. By subscribing, you authorize these recurring charges. Receipts and invoices are sent by email to your billing email address.
7.6 Automatic renewal. At the end of each paid month, your subscription renews automatically for one more month at the price that applies under section 7.10, until it is cancelled or ended under these Terms.
7.7 Cancellation. You may cancel at any time by email to info@closeease.com sent from the email address of an administrator of your CRM account. Cancellation takes effect at the end of the current paid month. Your users keep access until then, and we do not charge you again. If your cancellation reaches us on a billing date after that date's payment has been taken, the cancellation takes effect at the end of the month that payment covers. We confirm each cancellation, and the date it takes effect, by email.
7.8 No refunds. Subscription fees are non-refundable. We do not give refunds or credits for part of a month, for seats you do not use, for seats you remove, or for any month in which you did not use the CRM. If we charge you an amount in error, we refund that amount. Section 14.5 also provides for a refund if we stop offering the CRM.
7.9 Changing seats. An administrator of your CRM account may add or remove seats by email to info@closeease.com. An added seat is charged from the day we add it: for the rest of the current month, in proportion to the time remaining in that month, and then in full on each billing date. A removed seat stops being charged from the next billing date, and no refund or credit is given for the current month. The 5 seats included in the monthly price cannot be removed to reduce that price.
7.10 Price changes. We may change the price of the CRM by giving you at least 30 days' notice by email to the administrators of your CRM account. The new price applies from your first billing date after the notice period ends. If you do not accept the new price, you may cancel under section 7.7 before it applies.
7.11 Failed payments and suspension. If a payment fails, Stripe tries the payment again and we tell you by email. If an amount is still unpaid 14 days after its billing date, we may suspend your access to the CRM after telling you by email. We keep your Customer Data during a suspension, and we restore access within 1 business day after the overdue amount is paid. If an amount is still unpaid 30 days after its billing date, we may end your subscription by email, and section 7.18 then applies from the day the subscription ends.
7.12 Acceptable use. You and your users must use the CRM only for lawful business purposes and must not: (a) send email, text messages or other commercial electronic messages without the consent, identification and unsubscribe mechanism that the law requires, including Canada's Anti-Spam Legislation (CASL); (b) store or send content that is unlawful, defamatory, harassing or fraudulent, or that infringes another person's rights; (c) upload malicious code; (d) try to access another customer's data or to get around any security control, including two-step sign-in; (e) test the security or the load capacity of the CRM without our written permission; (f) copy, reverse engineer or decompile the CRM, except to the extent the law allows despite this restriction; (g) resell, rent or give access to the CRM to anyone outside your business, other than through the seats you pay for; or (h) break the terms of a service that is connected to the CRM.
7.13 Suspension for misuse. If you or your users break section 7.12, we may suspend the users concerned or your whole account. If the breach is unlawful, or puts the CRM, other customers or any person at risk, we may suspend at once and then tell you by email. In every other case, we will tell you by email first and give you 5 business days to remedy the breach before we suspend.
7.14 Account security. Every user must sign in with a password and with two-step sign-in through an authenticator app. You are responsible for deciding who receives a seat, for the permissions your administrators give each user, for the activity of your users, and for keeping log on details and authenticator devices secure. You must tell us by email at info@closeease.com within 24 hours after you become aware of any unauthorized access to your CRM account.
7.15 Connected services. Some features work only when you connect your own accounts with other providers, such as Stripe, Resend, Twilio, Meta, LinkedIn, TikTok, Google, Microsoft, Zoom or Calendly. Your agreement with each provider governs your use of its service, and you pay that provider's fees directly. We are not responsible for a connected service, its availability or its changes.
7.16 Availability and changes. We do not guarantee that the CRM will be available at any particular time or at any level of uptime, or that it will be free of errors. The CRM may be unavailable during maintenance, during updates, or when one of our providers has an outage. We may add, change or remove features of the CRM.
7.17 Support. We provide support for the CRM by email to info@closeease.com. We do not provide telephone support or support 24 hours a day, 7 days a week, and we do not commit to a time for resolving any issue.
7.18 Data export and deletion. (a) While your subscription is active, administrators can export contact records from the CRM themselves as CSV files. (b) While your subscription is active, and for 30 days after it ends, an administrator may ask us by email for a full export of your Customer Data. We provide the export within 10 business days after the request, as CSV files or in another commonly used, machine-readable format, at no extra charge. (c) When your subscription ends, your users can no longer log on. We keep your Customer Data for 30 days after the day the subscription ends. At the end of those 30 days, we permanently delete your Customer Data from the CRM, and encrypted backup copies are deleted automatically within a further 30 days. If you ask for an export during those 30 days, we keep your Customer Data until we have delivered the export. (d) An administrator may ask us in writing to delete your Customer Data sooner. (e) We keep records of your subscription, payments and invoices for as long as the law requires, as our Privacy policy describes.
8. Customer Data and privacy
8.1 Ownership. You own your Customer Data.
8.2 Our licence. You grant us a non-exclusive, royalty-free licence, for as long as we hold Customer Data under these Terms, to host, copy, store, transmit, display, back up and otherwise process it, in the countries where our providers operate, only to provide, secure and support the CRM for you, to follow your instructions, and to comply with the law.
8.3 What we do not do. We do not sell Customer Data, use it for advertising, use it to train artificial intelligence models, or use it for our own purposes. We access Customer Data only to provide support you ask for, to keep the CRM secure and working, or to comply with the law.
8.4 Your responsibilities. You control your Customer Data and decide what personal information it contains and why. You are responsible for its accuracy and lawfulness, and for obtaining every consent and giving every notice that the law requires, including under CASL and the privacy laws that apply to you.
8.5 Our role. For personal information in Customer Data, we act as your service provider and process it on your behalf. We: (a) process it only as these Terms describe and as you instruct through your use of the CRM or in writing; (b) protect it with the safeguards described in section 12 of our Privacy policy; (c) use only the providers listed in section 9.2 of our Privacy policy to process it, and notify the administrators of your CRM account by email at least 30 days before a new provider begins to process it; (d) notify you by email within 72 hours after we confirm a breach of security safeguards that affects it; (e) forward to you, within 5 business days, any request we receive from an individual about their information in your Customer Data; and (f) export and delete it as section 7.18 describes.
8.6 Privacy policy. Our Privacy policy describes how we handle personal information about you, your users and the people who act for your business.
9. Intellectual property
9.1 What we own. CloseEase owns the Website, the CRM, our demonstration apps, our tools, templates, methods and know-how, and everything we created before or apart from our work for you (together, "CloseEase Materials"), and all intellectual property rights in them. Except as these Terms or a Signed Agreement expressly state, nothing transfers any right in CloseEase Materials to you.
9.2 Use of the CRM. While your subscription is active and paid, we grant you and your users a non-exclusive, non-transferable right to use the CRM for your internal business purposes, under these Terms.
9.3 The Find. We keep the copyright in the written plan and quote we deliver in a Find. Once the Find fee is paid, we grant you a non-exclusive, perpetual, royalty-free licence to use, copy and share them within your business, and with advisers or other providers you engage for the work they describe.
9.4 Custom Fix work. Ownership of custom work we create in a Fix is set by the Signed Agreement for that project. If that Signed Agreement does not state who owns the custom work, ownership of the custom work passes to you once you have paid in full for that project. Until then, we own it. CloseEase Materials included in custom work remain ours, and once you have paid in full, we grant you a non-exclusive, perpetual, royalty-free licence to use, copy and change them as part of that custom work.
9.5 Your materials. You keep ownership of the materials you give us. You grant us a non-exclusive licence to use them only to perform the Services and to provide the CRM for you.
9.6 Feedback. If you give us suggestions about the Website, the Services or the CRM, we may use them without any obligation to you.
10. Confidentiality
10.1 "Confidential Information" means information that one party (the "discloser") gives the other party (the "recipient") in connection with these Terms, a Service or the CRM, that is not public and that is marked as confidential or is confidential by its nature, such as business processes, client lists, prices in a quote, system access details and personal information. Your Customer Data is your Confidential Information.
10.2 The recipient must: (a) use the discloser's Confidential Information only to perform or receive the Services or the CRM; (b) disclose it only to its personnel, contractors and professional advisers who need to know it and who are bound by duties of confidentiality at least as protective as this section; and (c) protect it with at least the care it uses for its own confidential information of a similar kind.
10.3 Section 10.2 does not apply to information that: (a) is or becomes public without a breach of these Terms; (b) the recipient already held lawfully and without a duty of confidentiality; (c) the recipient receives lawfully from another party without a duty of confidentiality; or (d) the recipient develops independently. The recipient may disclose Confidential Information when the law or a court requires it, after giving the discloser written notice, where the law permits, so that the discloser can seek protection.
10.4 These obligations apply while we provide any Service or the CRM to you and for 3 years after the last of them ends. For personal information and trade secrets, they apply for as long as the information remains personal information or a trade secret.
10.5 After our work for you ends, the recipient will, within 30 days after the discloser's written request, return or delete the discloser's Confidential Information, except for copies held in automatic backups, which are deleted on their normal schedule, and records the law requires the recipient to keep. Section 7.18 governs Customer Data.
11. Disclaimers
11.1 Except as these Terms or a Signed Agreement expressly state, and to the extent the law permits, the Website, the Services and the CRM are provided "as is" and "as available", and we give no warranty or condition of any kind, whether express or implied, including any warranty or condition of merchantable quality, fitness for a particular purpose or non-infringement, or that they will be uninterrupted or free of errors.
11.2 Our recommendations in the Find and in our other work are professional opinions based on the information available to us. We do not guarantee any particular business result, saving or revenue.
11.3 The content of the Website and the answers in the chat are general information. They are not legal, tax, accounting or other professional advice.
11.4 You are responsible for deciding whether you need copies of your Customer Data outside the CRM, and for making them with the export options in section 7.18.
12. Limitation of liability
12.1 To the extent the law permits, our total liability for all claims arising out of or relating to these Terms, the Website, the Services and the CRM, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us in the 12 months before the event that gave rise to the first claim.
12.2 To the extent the law permits, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, even if we were told that such damages or losses were possible.
12.3 Nothing in these Terms limits liability for fraud or any other liability that the law does not allow to be limited. If a Signed Agreement for a Fix or Support sets a different limit of liability, that limit applies to claims under that Signed Agreement.
13. Indemnity
13.1 You will defend and indemnify CloseEase against every claim brought by another party, and against the resulting losses, damages, fines, costs and legal fees, to the extent the claim arises from: (a) your Customer Data, including any claim that you lacked a consent or did not give a notice that the law requires; (b) messages sent through the CRM by you or your users; (c) a breach of section 4.1 or 7.12, or of the law, by you or your users; or (d) materials you give us that infringe another person's rights.
13.2 We will notify you in writing within 10 business days after we receive notice of a claim, let you control its defence and settlement, and give you the information and help you need, at your cost. A late notice reduces your obligation only to the extent that the delay harms your defence. You must not settle a claim in a way that admits fault on our part or places an obligation on us without our written consent.
14. Suspension and termination
14.1 You may cancel the CRM under section 7.7. A Fix or Support arrangement ends as its Signed Agreement states.
14.2 Either party may end these Terms as they apply to a Service or to the CRM, by written notice, if the other party commits a material breach and does not remedy it within 10 business days after receiving written notice that describes the breach.
14.3 We may end your CRM subscription or a Service at once by written notice if you or your users break section 7.12 in a way that is unlawful or that puts the CRM, other customers or any person at risk, or if you become bankrupt or insolvent or a receiver is appointed over your business.
14.4 When a Service or the CRM ends for any reason: (a) amounts for work already done and for months already started remain payable; (b) no refund is given, except as sections 5.8, 7.8 and 14.5 provide; (c) section 7.18 applies to your Customer Data; and (d) sections 5.6, 7.8, 7.18, 8 to 13 and 16 to 19 continue to apply.
14.5 We may stop offering the CRM by giving you at least 90 days' notice by email. In that case, your subscription ends on the date stated in the notice, we refund any fees you paid for days after that date, and section 7.18 applies.
15. Events beyond our control
15.1 Neither party is liable for a delay or failure to perform, other than an obligation to pay, that is caused by an event beyond its control, such as a natural disaster, an epidemic, war, an act of government, a failure of the internet, of power supplies or of a provider's service, or the serious illness of the owner of CloseEase. The affected party will tell the other party by email within 5 business days after the event begins and will resume performance as soon as the event allows.
15.2 If the event prevents performance for more than 30 days, either party may end the affected Service or CRM subscription by written notice.
16. Governing law and courts
16.1 These Terms, and any dispute arising out of or relating to them, the Website, the Services or the CRM, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict of laws rules.
16.2 The courts of Ontario have exclusive jurisdiction over any such dispute, and each party submits to the jurisdiction of those courts.
17. Entire agreement and order of precedence
17.1 These Terms, together with any Signed Agreement, are the entire agreement between you and us about their subject, and they replace all earlier discussions, proposals and statements about it, including statements on the Website and in the chat.
17.2 If there is a conflict, the following order applies, from highest to lowest: (a) a Signed Agreement; (b) these Terms; and (c) the Website, including its pages, its answers to questions and its chat.
17.3 Terms in a purchase order or in any other document that you send us do not apply unless we accept them in a Signed Agreement.
18. General terms
18.1 Severability. If a court finds any provision of these Terms invalid or unenforceable, that provision applies to the greatest extent the law allows, and the rest of these Terms remains in effect.
18.2 No waiver. A failure or delay by either party in enforcing a provision of these Terms is not a waiver of it. A waiver is effective only if it is in writing and signed or sent by the party giving it.
18.3 Assignment. You may not assign or transfer these Terms or a Signed Agreement without our written consent. We may assign these Terms and any Signed Agreement to a buyer or successor of all or part of the CloseEase business by notifying you by email.
18.4 Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between them.
19. Notices
19.1 Notices to us under these Terms must be sent by email to info@closeease.com.
19.2 We send notices to you by email to the address you gave us when you signed up, the address in a Signed Agreement, or the addresses of the administrators of your CRM account. You must keep those addresses current.
19.3 A notice sent by email is received on the day it is sent, if it is sent before 5:00 p.m. Toronto time on a business day. Otherwise, it is received on the next business day.
20. Contact
Questions about these Terms can be sent to info@closeease.com or through the form below. Messages sent through the contact forms on the Website receive a personal reply by email within 24 hours. These Terms are effective October 22, 2026.
